01About these terms
Inkari (“we”, “us”) is software for running campaign print and point-of-sale across a multi-site estate, used by brands, their stores and the companies that print for them.
By using the website or the service you agree to these terms. If you use Inkari for your employer, you’re agreeing on its behalf and confirm you’re allowed to.
02For businesses
Inkari is sold to businesses for business use, and these terms are written on that basis. It isn’t offered to consumers.
03Your account
- Accounts are by invitation, from us or from your organisation’s administrators, who decide what each person can see and do.
- An account is for one person. Keep your password and sign-in links to yourself.
- Tell us straight away at hello@inkari.co.uk if you think someone else has used your account.
- Your organisation is responsible for what’s done under its accounts.
04Using Inkari fairly
You agree not to:
- upload anything unlawful, or anything you don’t have the right to use, such as artwork, fonts or photographs you haven’t licensed
- upload malicious software, or try to get into accounts, data or parts of the system you haven’t been given
- test, probe or overload the service, or copy it by automated means, without our written agreement
- copy, adapt or reverse-engineer the software, except where the law allows it
- resell or share access to Inkari outside your organisation without our agreement
We may suspend access that breaks these rules or puts the service or other customers at risk. Where we can, we’ll warn you first.
05Your content
Artwork, data, photographs and everything else you put into Inkari stays yours.
You give us permission to store, copy, process and display it only as far as we need to in order to run the service for you: showing proofs, imposing artwork onto sheets, preparing cutting files, and sending orders to the print and delivery partners who fulfil them.
You confirm you have the rights to what you upload, and that our using it this way won’t infringe anyone else’s rights.
06Proofs and approvals
When someone in your organisation approves artwork in Inkari, that approval is the instruction to produce it as shown. Check every proof carefully, including text, sizes, quantities and versions.
Colours on screen are a guide, not a colour match. If colour is critical, ask for a printed proof before approving.
Inkari checks files for common problems, such as missing bleed or low-resolution images, but those checks don’t replace your own review.
07Fees and payment
Fees for the service, and prices for print ordered through it, are as set out in your quote, order form or agreement. Unless they say otherwise, prices exclude VAT and invoices are due by the date shown on them.
If an invoice is still unpaid after we’ve reminded you, we may suspend access until it’s settled.
08Availability and changes
We work to keep Inkari available and to fix faults quickly, but we can’t promise it will always be uninterrupted or free of errors. Updates sometimes need a short pause, which we keep outside working hours where we can.
Inkari is improved continually. We may change features, but we won’t make a change that materially reduces what you’ve paid for without telling you first.
09Our software
We own Inkari and everything in it other than your content. You have a non-exclusive, non-transferable right to use it for your organisation’s business while your subscription lasts.
If you send us ideas or feedback, we may use them freely.
10Confidentiality
Each of us will keep the other’s confidential information confidential, including your artwork before it launches, and use it only for our work together. This doesn’t cover information that’s already public, or that either of us has to disclose by law.
11Personal data
Our privacy policy explains how we handle personal data.
Where we process personal data on your organisation’s behalf, we do so as its processor, under the data processing terms in our agreement. Where there are none, we will:
- act only on your organisation’s documented instructions
- make sure everyone who handles the data is bound to keep it confidential, and keep it secure
- use only the providers listed in our privacy policy, and tell you before adding another
- help you answer requests from individuals and meet your own obligations
- tell you without undue delay about any breach that affects your data
- delete or return the data when the service ends
12Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn’t allow to be limited.
Otherwise, neither of us is liable to the other for loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
Our total liability to you in any twelve months, however it arises, is limited to the fees you paid us for the service in the twelve months before the claim.
If you use the website or the demo without a subscription, they’re provided as they are, and we accept no liability for them beyond what the law requires.
13Suspension and ending
Your organisation’s agreement sets out how either of us can end the service. We may also end it if you seriously break these terms and don’t put it right within 30 days of our asking.
When the service ends, we’ll give you a copy of your data in a common format if you ask within 30 days. After that we delete it, except what we must keep by law. Copies in backups are overwritten within 14 days.
14The demo
The demo at demo.inkari.co.uk is for trying Inkari out. Its brands, stores and jobs are invented, it’s reset to its starting point every night, and anyone given the link can use it, so please don’t upload anything confidential or personal to it.
15General
- Neither of us may transfer these terms to someone else without the other’s agreement, except as part of selling the business.
- These terms, with your order form or agreement, are the whole agreement between us about the service.
- If any part of these terms can’t be enforced, the rest still applies.
- Not enforcing a right straight away doesn’t mean giving it up.
- Nobody else has rights under these terms.
- Neither of us is responsible for delays caused by events outside our reasonable control.
- We may update these terms. We’ll change the date at the top, and tell account holders by email before a change that matters takes effect.
16The law that applies
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute about them.
